Conditions to a Buy/Sell
Two Dealers were selling their stores.
Both had last minute deal killing conditions pop up.
One deal was lost (deal 1) and one deal closed (deal 2).
Dealer 1 was contacted by a broker who had a buyer that would pay a good price, make a quick deal, pay all cash and could get approval. So they quickly entered into an agreement, applied to the factory for approval, performed minimum due diligence and were within a week of closing on the sale.
Almost done? Seller was ready to move to the mountains!
The condition pops up. The buyer pulled out and now the seller is in a much more difficult position. Because of the pending sale some parts of his marketing was curtailed, employees quit and business slowed significantly. It’s not easy to jump back in and turn it around one more time.
